1. Agreement

These Terms of Service ("Terms") govern your use of the IMIRT Delivery Intelligence application ("the App") provided by IMIRT ("we", "us", "our") and hosted on the WhatIfWe.ai platform. By installing or using the App on your monday.com account, you agree to these Terms.

IMIRT Delivery Intelligence is a monday.com board view application that provides:

The App reads data from and writes status updates to your monday.com boards. All forecasting is based on your actual historical data, not external benchmarks.

3. Eligibility

You must have a valid monday.com account to use the App. You must have sufficient permissions on the boards where you install the App. You represent that you are authorised to install applications on behalf of your monday.com account or workspace.

4. Subscription and Billing

4.1 Free Tier

The App may offer a free tier with limited features or usage allowances, as described in the monday.com marketplace listing.

4.2 Paid Tiers

Paid subscriptions are billed through the monday.com marketplace billing system. Pricing, billing cycles, and payment terms are as displayed in the monday.com marketplace at the time of purchase. All billing disputes should be directed to monday.com in accordance with their marketplace policies.

4.3 Changes to Pricing

We reserve the right to modify pricing for future billing periods. Any price changes will be communicated at least 30 days in advance through the monday.com marketplace listing. Continued use after a price change constitutes acceptance of the new pricing.

You agree to use the App only for its intended purpose of delivery intelligence and forecasting. You agree not to:

6. Intellectual Property

The App, including its design, algorithms, forecasting models, visualisations, and documentation, is the intellectual property of IMIRT. Your subscription grants a limited, non-exclusive, non-transferable licence to use the App within your monday.com account for the duration of your subscription.

Your monday.com board data remains your property at all times. We claim no ownership rights over your data.

8.1 Availability

We aim to maintain reasonable availability of the App but do not guarantee uninterrupted service. The App depends on monday.com's platform availability and API services, which are outside our control.

8.2 Maintenance

We may perform maintenance or updates that temporarily affect availability. Where possible, we will provide advance notice through the marketplace listing.

8.3 Support

Support is available via email at support@whatifwe.ai. We will make reasonable efforts to respond to support requests within 2 business days.

9. Disclaimers

9.1 Forecasts Are Probabilistic

The App provides probabilistic forecasts, not guarantees. Monte Carlo simulation produces ranges of possible outcomes based on historical data. Actual results may differ from forecasted ranges. Forecasts should inform decision-making, not replace professional judgement.

9.2 Data Quality

Forecast accuracy depends on the quality, quantity, and consistency of your historical data. The App provides data quality indicators to help you assess confidence in results. Boards with limited or inconsistent history will produce less reliable forecasts.

9.3 As-Is Provision

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IMIRT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO YOUR USE OF THE APP.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Termination

11.1 By You

You may terminate your use at any time by uninstalling the App from your monday.com account. Uninstallation immediately revokes all App access to your boards.

11.2 By Us

We may suspend or terminate your access to the App if you violate these Terms, if required by law, or if we discontinue the App. We will provide reasonable notice where possible.

11.3 Effect of Termination

Upon termination, your licence to use the App ends immediately. No data deletion is required on our end as we do not store your data (stateless architecture).

12. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated through the monday.com marketplace listing at least 14 days before taking effect. Continued use of the App after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of Ireland. Any disputes arising from these Terms or your use of the App shall be subject to the exclusive jurisdiction of the courts of Ireland. If you are a consumer in the European Union, you retain the benefit of any mandatory consumer protection provisions of your country of residence.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and IMIRT regarding the App. They supersede any prior agreements or understandings relating to the App.
